Terms of Service - MinuteAI

1. Acceptance of Terms

By downloading, installing, or using MinuteAI (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. AITYTECH ("we," "us," or "our") reserves the right to modify these Terms at any time. Continued use of the App constitutes acceptance of updated Terms.

2. Description of Service

MinuteAI provides privacy-first voice recording and AI transcription services with the following features:

On-device audio recording and transcription using WhisperKit, FluidAudio, Apple Speech Analyzer, and optional OpenAI Whisper API
AI-powered enhancement and summarization using MLX Swift
Chrome extension for recording browser tab audio (Google Meet, Microsoft Teams, etc.)
Local storage with optional iCloud sync
Speaker diarization and content organization

All core processing happens locally on your device. No audio or transcripts are uploaded to external servers unless you explicitly use third-party integrations.

3. User Accounts

MinuteAI does not require user accounts for core functionality. Pro subscriptions are managed through the Apple App Store and associated with your Apple ID.

4. Pricing

MinuteAI operates on a freemium model:

Free Tier: Limited transcription minutes per month, basic features
Pro Subscription: $9.99/month or $79.99/year (USD). Prices may vary by region.

All prices are subject to change. Existing subscribers will be notified of price changes at least 30 days in advance.

5. Subscriptions and Billing

Auto-Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period.
Payment: Managed through Apple App Store. Payment is charged to your Apple ID at confirmation of purchase.
Cancellation: Cancel anytime through App Store settings. No refunds for partial periods.
30-Day Money-Back Guarantee: First-time subscribers may request a full refund within 30 days by contacting [email protected].

6. Intellectual Property

Our Property: AITYTECH owns all rights to the MinuteAI software, including source code, design, branding, and documentation. You may not copy, modify, distribute, or reverse-engineer the App.

Your Content: You retain all rights to audio recordings and transcripts created using MinuteAI. We do not claim ownership of your content.

7. Privacy

MinuteAI is designed with privacy as a core principle. All audio processing happens on-device. We do not upload your recordings or transcripts to external servers. For more details, see our Privacy Policy.

8. Prohibited Uses

You agree not to use MinuteAI for:

Recording conversations without consent where legally required
Illegal surveillance or wiretapping
Violating privacy laws or third-party rights
Reverse-engineering or attempting to extract AI models
Commercial redistribution of the App

9. Limitation of Liability

MinuteAI is provided "AS IS" without warranties of any kind. We do not guarantee accuracy of transcriptions or AI-generated content. AITYTECH is not liable for:

Loss of data (including recordings or transcripts)
Transcription errors or inaccuracies
Indirect, incidental, or consequential damages
Service interruptions or bugs

To the maximum extent permitted by law, our total liability is limited to the amount you paid for the App in the 12 months prior to the claim.

10. Governing Law

These Terms are governed by the laws of Japan. Any disputes shall be resolved in the courts of Japan.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.
